Abstract

The purpose of this article is to find out the problematics law in the implementation of the regulation of acquisition on giving notification of shares in the perspective of business competition law. This research is an empirical legal research. Types and sources of data used in this research are primary data and secondary data. Data collection techniques through interviews and literature study. The location of the study was conducted at the Business Competition Supervisory Commission. The results of this study indicate that the notification acquisition in Indonesia is still facing the problems such as post-notification notification system that does not provide legal certainty and consultation system that is considered ineffective and inefficient, problems faced by KPPU internally and externally. And the impact of canceling the takeover of shares by KPPU is economic loss and trust.

Abstrak

Artikel ini bertujuan untuk mengetahui problematika hukum dalam penerapan pengaturan kewajiban pemberitahuan pengambilalihan saham dalam perspektif hukum persaingan usaha. Penelitian hukum ini merupakan penelitian hukum empiris. Jenis dan sumber data yang dipakai adalah data primer dan data sekunder. Teknik pengumpulan data melalui wawancara dan studi kepustakaan. Lokasi penelitian dilakukan di Komisi Pengawas Persaingan Usaha. Hasil dari penelitian ini menunjukan bahwa pengaturan kewajiban pemberitahuan pengambilalihan saham di Indonesia masih menghadapi problematika seperti sistem pemberitahuan post notification yang tidak memberi kepastian hukum dan sistem konsultasi yang dianggap tidak efektif dan efisien, hingga problem yang dihadapi oleh KPPU secara internal dan eksternal. Serta dampak dibatalkannya pengambilalihan saham oleh KPPU adalah kerugian secara ekonomi dan trust.
